1. Acceptance of Terms
By accessing our website, engaging our services, or making a purchase, you ("Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our website or services. These Terms constitute a legally binding agreement between you and Web3Elite ("Company," "we," "our," or "us").
2. Services
Web3Elite provides custom software development services including but not limited to:
- •AI-powered solutions (voice assistants, automation, machine learning, predictive analytics)
- •Custom web applications (full-stack platforms, SaaS products, business portals)
- •Business automation (SME workflows, invoicing, inventory, CRM systems)
- •Security modules (real-time threat detection, anomaly prevention, compliance systems)
- •Healthcare platforms (virtual clinics, telemedicine, patient management)
- •Trading & financial applications (dashboards, bots, platform integrations, analytics)
The specific scope, deliverables, and timeline for each project will be agreed upon in writing before development begins.
3. Client Responsibilities
As a Client, you agree to:
- •Provide accurate and complete project requirements and specifications
- •Supply necessary API keys, credentials, and platform access in a timely manner
- •Respond to communications and review deliverables within 5 business days
- •Ensure that your use of our services complies with all applicable laws and regulations in your jurisdiction
- •Not use our products for any illegal, fraudulent, or unauthorized purpose
4. Payment Terms
- •All payments are processed securely through EPS Payment Gateway
- •Prices are listed in US Dollars (USD)
- •Payment is required in full before development begins, unless otherwise agreed in writing for Enterprise projects
- •All sales are final and non-refundable. Please refer to our Refund Policy for details
5. Intellectual Property
Upon full payment:
- ✓The Client receives full ownership of all custom code, algorithms, and deliverables created specifically for their project
- ✓Source code is delivered to the Client
- •Web3Elite retains the right to use general knowledge, techniques, and non-proprietary frameworks developed during the engagement
- •Third-party libraries and tools remain subject to their respective licenses
6. Confidentiality
Both parties agree to keep confidential all proprietary information exchanged during the engagement, including but not limited to: business logic, algorithms, API credentials, system architectures, business processes, and sensitive data. This obligation survives the termination of the engagement and remains in effect indefinitely.
7. Project Delivery
- •Estimated timelines are provided in good faith but are not guaranteed unless explicitly stated in a written agreement
- •Delays caused by the Client (e.g., delayed feedback, missing credentials) will extend the timeline accordingly
- •The project is considered delivered upon handover of source code and documentation
- •The Client has 7 business days after delivery to report any issues covered under the project scope

Important Disclaimer
- Web3Elite is a software development company. We do not provide financial, medical, legal, or any other professional advisory services.
- Software products involving financial markets, trading, or healthcare are tools only. The Client is solely responsible for how they are used and any outcomes resulting from their use.
- Past performance of any software does not guarantee future results.
- Web3Elite bears no liability for any losses — financial or otherwise — incurred through the use of our software products.
- The Client is responsible for ensuring their use of our deliverables complies with all applicable laws and regulations in their jurisdiction.
9. Limitation of Liability
To the maximum extent permitted by law, Web3Elite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, data loss, or business interruption, arising out of or related to the use of our services or products. Our total liability shall not exceed the amount paid by the Client for the specific service giving rise to the claim.
10. Warranty Disclaimer
Our services and deliverables are provided "as is" and "as available." While we strive to deliver high-quality, functional software, we do not warrant that the software will be error-free, uninterrupted, or meet all of the Client's expectations beyond the documented project scope. Post-delivery support is limited to the period specified in the Client's service plan.
11. Termination
Either party may terminate the engagement with written notice. In the event of termination:
- •The Client will receive all work completed up to the termination date
- •No refund will be issued for work already performed
- •Confidentiality obligations remain in effect
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the modified Terms.
